Terms of Service

These Terms of Service ("Terms") govern your access to and use of HostAgentes services, including the Paperclip multi-agent orchestration platform and the OpenClaw bring-your-own-key agent hosting platform (collectively, the "Services"), operated by HostAgentes ("we", "us", or "our") at www.hostagentes.com.

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Service Description

1.1 Paperclip

Paperclip is a managed hosting platform for multi-agent AI orchestration workflows. We provide the infrastructure, runtime, scheduling, and monitoring required to run your AI agents at scale. Paperclip plans are priced in USD, starting at $15/month.

1.2 OpenClaw

OpenClaw is a bring-your-own-key (BYOK) agent hosting service. You supply your own LLM API keys; we provide the hosting, execution environment, and tooling. OpenClaw plans are priced in USD, starting at $3.99/month.

1.3 Service Availability

We target high availability for all hosted services and publish our uptime status publicly. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible.

2. Account Registration and Responsibilities

2.1 Account Creation

To use our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.2 Account Security

You must notify us immediately at support@hostagentes.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account credentials.

2.3 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By accepting these Terms, you represent that you meet these requirements.

3. Acceptable Use

3.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You are solely responsible for the content, prompts, logic, and outputs of the AI agents you host on our platform.

3.2 Prohibited Activities

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Generate, distribute, or facilitate illegal content, including content that exploits or harms minors
  • Engage in unauthorized access to, or disruption of, any computer systems or networks
  • Send unsolicited bulk messages (spam) or conduct phishing attacks
  • Scrape, crawl, or harvest data from third-party services in violation of their terms
  • Attempt to reverse-engineer, decompile, or extract source code from our platform
  • Resell, sublicense, or white-label the Services without our written permission
  • Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure
  • Circumvent usage limits, rate limits, or billing controls
  • Violate the terms of service of any LLM provider whose APIs you access through our platform

We reserve the right to suspend or terminate accounts that violate this section without prior notice.

4. Payment Terms

4.1 Billing Cycle

Subscriptions are billed monthly in advance. Your billing cycle begins on the date you subscribe to a plan. We do not offer refunds for partial months of service.

4.2 Payment Methods

We accept major credit cards and other payment methods as displayed at checkout. You authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Price Changes

We may change our pricing at any time. For existing subscribers, price changes take effect at the start of the next billing cycle, and we will provide at least 14 days' advance notice by email.

4.4 Usage-Based Charges

Certain plans may include usage-based components (e.g., compute hours, API call volume). Overages will be billed at the rates specified on our pricing page at the time of use.

4.5 Taxes

Prices shown may not include applicable taxes. You are responsible for all taxes associated with your use of the Services, other than taxes based on our net income.

4.6 Late Payment

If payment fails, we will attempt to collect payment for up to 7 days before suspending your account. Suspended accounts may be terminated after 30 days of non-payment.

5. Intellectual Property

5.1 Our IP

HostAgentes retains all intellectual property rights in the Services, including the platform software, user interface, documentation, and trademarks. Nothing in these Terms grants you a license to use our IP beyond the limited right to use the Services as described.

5.2 Your Content

You retain all rights to your agent configurations, prompts, workflows, and any data you upload to the Services ("Your Content"). You grant us a limited, non-exclusive license to process Your Content solely to provide the Services to you.

5.3 Feedback

If you provide feedback or suggestions about our Services, you grant us a perpetual, royalty-free license to use such feedback without obligation to you.

6. Confidentiality

Each party agrees to keep the other's confidential information private and to use it only as necessary to fulfill obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT WILL HOSTAGENTES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
  • OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless HostAgentes and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) Your Content; (c) your violation of any third party's rights; or (d) your violation of any applicable law.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Services until the end of the paid period.

10.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if continued provision of Services becomes unlawful. We may also terminate the Services with 30 days' notice for any other reason.

10.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. You are responsible for exporting any data you wish to retain before termination. We will delete your data within 90 days of account closure, subject to legal retention requirements.

11. Modifications to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 14 days before the new Terms take effect. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Spain, except where mandatory consumer protection laws in your country of residence provide otherwise.

Before initiating formal proceedings, we encourage you to contact us at support@hostagentes.com to attempt to resolve disputes informally.

13. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and HostAgentes regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it in the future.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party is liable for delays or failures caused by circumstances beyond their reasonable control.
